European Union (MiCA) [Lithuania and Estonia]

MiCA stands for Markets in Crypto Assets Regulation. It is the European Union’s legal requirement for crypto-asset providers. It covers services such as crypto exchanges, stablecoin providers, crypto wallets, custody providers, and crypto trading platforms, etc. The purpose of this license is to ensure consumer protection.

Before MiCA, each EU country had its own crypto rules. For example, France had DASP registration, BaFin for Germany, and Estonia had its own VASP licensing system. So imagine if a business wants to launch an exchange platform across EU countries, it would be a lot of work to get a license for each EU country.

With MiCA, there is no need to obtain a separate license to launch an exchange across EU member states. MiCA introduced a broad EU regulatory framework under which businesses can apply to the relevant competent authority for a crypto asset service provider (CASP) designation and generally use passporting to launch an exchange across EU member states.

Passporting means using your authorization from one EU country to provide regulatory services to another country. So instead of getting separate licenses for Germany, France, Estonia, etc, you can actually use MiCA alone to operate across the EU countries. It doesn't mean the businesses are free from all the rules, but they must comply with MiCA and applicable requirements in the country where they are going to launch an exchange.

Process to obtain a MiCA license:

  • Choose the EU member state where you want to establish your crypto service. You need to register your business legally with the national competent authority(NCA).
  • Decide what kind of crypto services you are providing.
  • Your compliance setup must include KYC/AML procedures, security systems, risk management, customer-asset protection, etc.
  • Submit your application and supporting documents that they need.
  • They check your documents, security, AML controls, business model, etc.
  • If the documents meet the license requirements, the NCA grants you MiCA CASP authorization.
  • MiCA requires maintaining minimum capital for crypto-asset service providers based on the service they provide. 

The license required to launch an exchange in Lithuania and Estonia is a MiCA crypto asset service provider license issued by the regulated authority. 

If a company wants to provide services such as crypto-to-fiat exchange, crypto-to-crypto exchange, crypto custody/crypto wallet services, and operation of a crypto trading platform, they require a proper MiCA authorization for these services. 

The application process and security frameworks are the same as mentioned above in the MiCA license process.

Canada

Launching an exchange in Canada requires a Money Services Business ( MSB) license, which is regulated by the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC). It's not only a legal requirement but a sign of legitimacy in the financial services sector.

Process to obtain an MSB license:

  • First, register your business with FINTRAC.
  • The document verification includes detailed information about your business operation, ownership structure, and other relevant details.
  • Your business model should be implemented with a KYC/AML program that ensures customer identification, transaction monitoring, and reporting suspicious activities to the authorities.
  • After this, you can submit your application for the MSB license in Canada. The document has to provide an AML/KYC program, financial records, and proof of compliance with FINTRAC’s requirements.
  • Once your license is granted, your business must maintain ongoing compliance with Canadian financial regulations, including regular reporting and audits to ensure it remains in good standing with FINTRAC.

Singapore

If you are planning to launch an exchange in Singapore, you need to know about the two types of licenses under the Payment Services Act. One is a standard payment institution (SPI), and the other is a major payment institution (MPI). 

The SPI is suitable for businesses that have smaller transaction volumes, and the MPI is for businesses that have larger transaction volumes. Both licenses are regulated by the Monetary Authority of Singapore (MAS) to ensure financial stability and guard against money laundering and fraud.

Process to obtain a license in Singapore:

  • Register your business legally with MAS under the Payment Services Act with the authorization for digital payment token services.
  • A local registered address is needed.
  • You also need to appoint a compliance officer who is experienced in financial regulations, including AML/KYC.
  • You need to have the required capital for SPI and MPI licenses.
  • The company must ensure that its platform is integrated with AML/KYC systems, proper monitoring, and customer verification.

Australia

If you wish to launch an exchange in Australia, you must get approval from the Australian Transaction Reports and Analysis Centre (AUSTRAC) as a Digital Currency Exchange (DCE).

AUSTRAC serves as a financial intelligence centre of Australia and regulates digital assets. The DCE includes crypto exchange activity, token issuance, and custodial services, etc.

Process to obtain a license:

  • The applicant must register their business as an Australian company. At least one resident director or registered office, either physical or virtual, is required.
  • They need to provide information about ownership structure, management, and shareholders.
  • The minimum capital amount is required to launch their crypto exchange.
  • The capital must be placed in an Australian bank account.
  • The platform must be integrated with an AUSTRAC-compliant AML/CTF system.
  • The applicant needs to appoint a responsible Compliance officer.
  • There will be submission of documents for verification, such as registration and corporate documents, identification certificates for shareholders and directors, confirmation of the required capital, the security system’s complete manual, a business plan explaining the services offered and a sample client agreement.
  • The applicant needs to pay a registration and licensing fee.
  • After the document verification process, AUSTRAC will grant you a DCE license.

Hong Kong 

Hong Kong has a licensing system for virtual asset providers (VASP) regulated by the Securities and Futures Commission (SFC).

Under the system, licenses are issued by the SFC to organizations that provide virtual assets-related services.

This licensing will allow businesses to offer services in Hong Kong through a virtual asset trading platform (VATP).

Process to obtain a license in Hong Kong:

  • First, the business has to be a proper and legally established entity.
  • They have to be financially stable to handle operating expenses.
  • The company has to be registered in Hong Kong because only a company registered in Hong Kong or a foreign-registered company can apply.
  • Appoint a Responsible Officer and licensed representatives to supervise the platform’s regulated activities and ensure compliance with SFC requirements.
  • Directors, Shareholders, Responsible officers, and other relevant persons must meet the SFC’s requirements.
  • Their exchange platform has to be implemented with AML/CFT standards and properly integrated security frameworks to ensure effective risk management and proper implementation of automated trading.
  • Set up a secure trading system that includes cybersecurity controls, wallet, custody arrangements, data protection, and system monitoring.
  • Submit the application form and required documents related to the company infrastructure, as required by the Hong Kong SFC.
  • After reviewing the application, the company’s infrastructure, and the platform’s security measures, if all requirements are met, the SFC will grant the VATP license.

United States

For launching an exchange in the US, the main licenses/registrations you need:

  • FinCEN MSB Registration- The crypto exchange is considered a money transmitter. It must be registered as a Money Services Business (MSB) with the Financial Crimes Enforcement Network (FinCEN) and comply with the Bank Secrecy Act.FinCEN treats crypto exchangers as money transmitters.
  • State Money Transmitter Licences (MTLs)-You also need a Money transmitter license to expand your exchange across the states.
  • New York BitLicense- If the business wants to launch an exchange in New York, FinCEN doesn't cover the New York jurisdiction because New York has its own licensing system, the BitLicense. You need a BitLicense from the New York Department of Financial Services (NYDFS). 

 Process to Obtain a License

  • Register the business in the US by establishing the company and establishing the business structure, ownership, and management.
  • Identify which federal and state regulations apply based on the exchange activities.
  • FinCEN considers the crypto exchange a money transmitter, so the company needs to register as a Money Transmitter license through FinCEN.
  • Integrate the platform with AML/KYC compliance programs such as customer identification, transaction monitoring, identity verification, suspicious activity reporting, and sanctions compliance.
  • Apply for a state-level money transmitter license because requirements vary by state.
  • Prepare the required documents like a business plan, financial information, ownership details, AML/KYC policies, and other documents required by the relevant regulators.
  • After submission, the authorities will review your application and check whether the company meets the license’s requirements, and the relevant authority will grant the license.

Switzerland 

To launch an exchange in Switzerland, the required license or authorization is based on the business model and services it offers. Crypto exchanges are regulated by the Swiss Financial Market Supervisory Authority (FINMA). 

A FINMA DLT trading facility license is required when the platform operates a multilateral trading facility for DLT securities. The required license depends on the business model, virtual assets, and services offered.

Process to obtain a license

  • The DLT trading facility must be structured as a legal entity under Swiss law.
  • The applicant needs to establish a registered office and head office in Switzerland.
  • Before submitting the application, the applicant can create a presentation that includes the business model, financial resources, and source of funds, organizational structure, relevant management issues, and planned timeline.
  • Also prepare the required documents and information specified by FINMA's DLT Trading Facility application guidelines.
  • Appoint a licensing audit firm to examine the application and check whether the applicant meets the licensing requirements.
  • After completing these processes, the applicant can submit the application form.
  • FINMA reviews the application to determine whether the applicant meets the licensing requirements.
  • The licensing audit must be completed, and the audit report must be submitted to FINMA as per the licensing process.
  • If the applicant meets the license requirements, FINMA grants the DLT trading facility license.
  • After licensing, the facility is subject to FINMA supervision and ongoing compliance requirements.

Dubai

Launching an exchange in or from Dubai, the required regulator is the Virtual Assets Regulatory Authority. The platform offering crypto exchange services must get this VARA license to operate in Dubai. VARA treats exchanges as one of its eight regulated virtual asset activities.

The Virtual Assets Regulatory Authority (VARA) was established to oversee crypto exchange activities and activities involving virtual assets in the emirate.

The DIFC (Dubai International Financial Centre) has its own regulator, DFSA (Dubai Financial Services Authority), which offers a well-defined but conservative framework.             

  • VARA - The Virtual Assets Regulatory Authority regulates virtual asset services in Dubai outside the DIFC.     
  • DFSA - Regulates financial services, including crypto and token-related activities inside the DIFC.
  • DIFC - It is a separate financial free zone within Dubai with its own regulatory frameworks.

Process to Obtain a license                              

  • Establish the company in the Dubai mainland or a Dubai-eligible free zone.
  • Submit the required initial information to VARA through the Dubai Business Licensing Channel.
  • Provide documents including the business model, financial infrastructure, shareholders, beneficial owners, and senior management.
  • The applicant needs to pay the application fee specified by VARA.
  • After the initial review, the applicant may receive an Approval to Incorporate(ATI), which allows the company to process incorporation and set up. This ATI is given to proceed to the next stage of the VARA licensing process. 
  • Complete the operational setup by establishing the required office, appointing qualified personnel, implementing the required AML/KYC compliance systems, and implementing risk management. 
  • Submit the documents and information required by VARA for the virtual asset service license.
  • VARA reviews the documents submitted by the applicant and checks whether they meet the license requirements.
  • Lastly, pay the applicable remaining fees,  and once VARA grants the license, the company can start its crypto exchange services in accordance with the license policy.

Abu Dhabi 

Abu Dhabi Global Market (ADGM) is a financial free zone in Abu Dhabi with its own law and regulators, the Financial Services Regulatory Authority (FSRA). Crypto exchanges, custodians, investment managers, and brokers can be licensed through an FSRA Financial Services Permission for digital assets. This license only allows the business to operate within the ADGM jurisdiction,  outside ADGM, the business may need approval from the SCA or VARA.

Process to obtain a license in Abu Dhabi:

  • Establish the business in Abu Dhabi Global Market and the required corporate structure.
  • Contact the FSRA team to discuss the business model, proposed exchange, and intended activities before submitting the formal application.
  • Prepare a business plan covering the business model, proposed activities,  ownership and management, operational structure, financial resources, and compliance arrangements.
  • FSRA reviews the application and decides whether it can proceed.
  • Complete the virtual assets application form and provide the required documents for the proposed regulated activities.
  • There will be an applicable fee to pay, and once the application is accepted, FSRA issues an in-principle approval (IPA) that the applicant must satisfy before receiving the final permission.
  • The applicant needs to complete the conditions specified by FSRA, and once their application meets the license requirements, FSRA  grants the financial service permission(FSP).
